3D Model License Agreement

1. Introduction

This 3D Model License Agreement (“Agreement”) is entered into by and between Modo3ds (“Licensor”) and the individual or entity accessing or purchasing the 3D model (“Licensee”). By using or purchasing the 3D model, the Licensee agrees to adhere to the terms outlined in this Agreement.

2. Definitions

• “3D Model” refers to the digital 3D model files, including any associated textures, materials, and documentation provided by the Licensor.
• “Licensee” refers to the individual or entity that has obtained the 3D model from the Licensor.
• “Editorial Use” refers to the use of the 3D model in content that is intended for informational or educational purposes and not for commercial advertising or promotional activities.

3. Grant of License

• License: Subject to the terms of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, and revocable license to use, modify, and incorporate the 3D model into projects strictly for editorial purposes.
• Editorial Use: The Licensee may use the 3D model for:
• Inclusion in articles, reports, or news coverage.
• Educational or instructional materials.
• Non-commercial publications, such as magazines, journals, and books.

4. Restrictions

• Prohibited Uses: The Licensee may not:
• Use the 3D model for commercial advertising, promotional materials, or any marketing activities.
• Resell, redistribute, or sublicense the 3D model, in its original or modified form.
• Use the 3D model in any way that implies endorsement or affiliation with the Licensor’s brand or trademarks, unless expressly authorized.
• Use the 3D model in any content that is defamatory, misleading, or harmful.

5. Copyright and Ownership

• Ownership: The Licensor retains all rights, title, and interest in and to the 3D model, including all copyright and intellectual property rights. This Agreement does not transfer any ownership rights to the Licensee.
• Brand Usage: The Licensee acknowledges that the use of the 3D model does not grant any rights to the Licensor’s trademarks or brand names. Any use that suggests an affiliation with or endorsement by the Licensor is prohibited unless explicitly authorized.

6. Attribution

• Credit: The Licensee must provide appropriate credit to the Licensor in any editorial use of the 3D model as specified by the Licensor.

7. Termination

• Termination: The Licensor may terminate this Agreement if the Licensee breaches any of the terms. Upon termination, the Licensee must cease all use of the 3D model and destroy any copies in their possession.

8. Limitation of Liability

• Liability: To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the 3D model.

9. Indemnification

• Indemnity: The Licensee agrees to indemnify, defend, and hold harmless the Licensor from any claims, liabilities, damages, losses, or expenses arising out of or related to the Licensee’s use of the 3D model.

10. Governing Law

• Law: This Agreement is governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles.

11. Changes to the Agreement

• Updates: The Licensor may update this Agreement from time to time. The Licensee will be notified of any material changes, and continued use of the 3D model constitutes acceptance of the updated terms.
